Draft terms of business of gull system: ordering, trial, prices, payment and ending.
Version 1.1 (draft) of 7 November 2026. Not yet in force; the binding version will be published with its effective date.
1.1 These terms of business (the "Terms") govern the provision of the gull system software and services. The provider is Daniel Racek, company ID (IČO) 30167825, registered office U Obory 307/20, 405 02 Děčín VII-Chrochvice, Czech Republic, a sole trader registered in the trade register kept by the Trade Licensing Office in Děčín, e-mail [email protected], telephone +420 703 429 953.
1.2 The services are intended for businesses and other legal entities (the "Customer"). The provider does not contract with consumers.
1.3 Use of the software is also governed by the End User Licence Agreement (EULA), and the processing of personal data for the Customer by the Data Processing Agreement at gullsystem.com/documents/dpa. The Terms, the EULA and the Data Processing Agreement, together with the customer account and the order, form the whole contract.
2.1 The provider offers in particular:
2.2 The current scope, prices and parameters of the services are given in the price list at gullsystem.com. The price list in effect on the day of the order applies to the Customer.
2.3 Services marked on the website or in the price list as in preparation are not part of the offer until the provider makes them available.
3.1 The contract is formed when the Customer orders a service in its customer account at gullsystem.com or in writing and the provider confirms the order, usually by issuing an invoice or a licence.
3.2 The Customer is responsible for the accuracy of the details in its account, in particular its company ID, billing address and contact e-mail.
4.1 The Customer may try the services free of charge for 30 days. A trial requires a company ID, and each company may use it once.
4.2 When the trial ends, the software is limited until the Customer pays for the ordered service. Article 7 applies accordingly.
5.1 Prices are given in the price list. The provider is not a VAT payer, so the prices are final.
5.2 Services are paid in advance, monthly or annually. An annual payment equals eleven times the monthly price. The onboarding fee is paid once.
5.3 Payment is by bank transfer against an invoice due within 14 days. The licence is activated or extended once the payment is received.
5.4 The provider may change its prices. It will announce a change at least 30 days in advance, and the new price applies from the next prepaid period.
6.1 The contract is made for an indefinite period and renews by paying for the next period.
6.2 The Customer may cancel the contract at any time in its customer account or by e-mail. The service lasts until the end of the paid period. Payment for an unused part of a period is not refunded, unless the provider has substantially limited the service or changed the Terms to the Customer's disadvantage.
6.3 The provider may terminate the contract with three months' notice. If the Customer materially breaches the contract, the provider may end it or suspend the service under the EULA.
7.1 If the Customer does not pay for the next period, the software is limited when the paid period ends. Data is kept, and published web configurators remain available until the provider deletes them under 7.3.
7.2 If the Customer has still not paid within 30 days of the end of the paid period, the contract ends.
7.3 After the contract ends for any reason, the Customer's data stays on the provider's server for another 30 days, so that the Customer can retrieve it or move it to another provider. If the Customer asks within that period, the provider hands it, free of charge and within 14 days of the request, a copy of the data on the server in a machine-readable format. The provider then deletes the Customer's data on its server within 30 days, in particular published web configurators, their files, synchronised data, orders, problem reports and the records of activated computers. It warns the owners of the customer account by e-mail at least 14 days before deleting. The data disappears from backups at the latest 30 days after deletion.
7.4 The provider never deletes data on the Customer's computer, or its CAD models and drawings.
7.5 The provider keeps the customer account and the data on the contract, licence and invoicing for the period stated in the privacy policy. At the Customer's request it deletes the customer account earlier, unless the law requires it to be kept.
8.1 The provider runs the server for licences, data synchronisation and published web configurators with due care and aims for continuous availability. It carries out planned maintenance outside working hours where possible.
8.2 Support is given by e-mail on working days.
9.1 Schools may obtain a school licence free of charge, for teaching and non-commercial purposes only.
9.2 Cooperation with partners (resellers) is governed by a separate agreement.
10.1 The provider's liability and the Customer's responsibility for the software's outputs are governed by the EULA, in particular its articles 7 and 8.
10.2 The provider is not liable for unavailability caused by third parties, for example the CAD vendor, the internet connection or the Customer's own hosting.
11.1 Personal data the Customer puts into gull system or that its web configurators, forms and spreadsheets collect, in particular the data in its own customers' orders, is processed by the provider for the Customer as a processor under the Data Processing Agreement at gullsystem.com/documents/dpa. The Customer is its controller.
11.2 On its pages with a published web configurator, the Customer informs its own customers about the processing of their personal data and links to its privacy policy.
11.3 Data on the customer account, contact persons, licence and invoicing is processed by the provider as a controller under the privacy policy at gullsystem.com/documents/privacy.
12.1 The contract is governed by the law of the Czech Republic, in particular the Civil Code. Disputes are decided by the Czech courts competent for the provider's registered office.
12.2 The provider may change the Terms where this is justified by a change in the law, in the scope or technical design of the services, in suppliers' prices or in operating conditions. It announces a change at least 30 days in advance by e-mail to the account owner and states what changes. If the Customer does not agree with the change, it may reject it and cancel the contract as of the day the change takes effect, without any penalty. In that case the provider refunds the pro-rata part of the subscription for the unused period.
12.3 If any provision is invalid, the other provisions remain in force.
12.4 The Terms are made in Czech and English. The Czech version prevails.

A short description to copy, in Czech and English.
gull system is a Czech software company offering engineering firms two products on a monthly subscription. With Web configurators, customers see a manufacturer’s products in 3D on its own website, try the variants and send a finished specification nobody has to retype. With CAD configurators, engineers stop redrawing the same parts: they set the rules as Excel-style formulas, with no programming, and the drawings, DXF, STEP and bill of materials for every order are then produced automatically from the CAD models the company already has.
