Licence agreement — gull system

Draft end user licence agreement of the gull system app.

Version 1.1 (draft) of 7 November 2026. Not yet in force; the binding version will be published with its effective date.

This licence agreement (the "Agreement") governs the use of the gull system software. It is made between the provider and the customer. By installing, running or using the software, the customer confirms that it has read the Agreement and agrees to it. If it does not agree, it must not install or use the software.

1. Parties and definitions

1.1 The Provider is Daniel Racek, company ID (IČO) 30167825, registered office U Obory 307/20, 405 02 Děčín VII-Chrochvice, Czech Republic, a sole trader registered in the trade register kept by the Trade Licensing Office in Děčín, e-mail [email protected].

1.2 The Customer is a business or other legal entity that uses the software under a licence issued by the Provider. The software is not intended for consumers.

1.3 The Software is the gull system application for Windows, including the CAD add-in, the part that displays published configurators, updates, documentation and the content supplied with the application.

1.4 The Licence is the right to use the Software to the extent shown in the customer account at gullsystem.com (products, number of seats, add-ons and term).

1.5 A Seat is one activation of the Software on one computer.

1.6 Customer Data means the configurators, forms, rules, tables, libraries, workflows, orders, files and other content the Customer creates in or puts into the Software.

2. Grant of licence

2.1 The Provider grants the Customer a non-exclusive, non-transferable licence to use the Software for the term of the Licence, within the agreed products and add-ons and on no more computers than the Licence has Seats.

2.2 The Software may be used by the Customer's employees and by persons working for the Customer, and only for the Customer's purposes.

2.3 A trial licence entitles the Customer to use the Software during the trial period in order to evaluate it. A school licence entitles use for teaching and non-commercial purposes only.

2.4 The Software is licensed, not sold. All rights in the Software not expressly granted remain with the Provider.

3. Restrictions

The Customer must not:

  1. distribute, sell, rent, lend or make the Software or any part of it available to third parties, except for published web configurators, which are made for that purpose;
  2. modify, decompile or reverse engineer the Software or circumvent its protection and licence check, unless a mandatory provision of law expressly allows it;
  3. use the Software on more computers than the Licence has Seats, or share activation details outside its organisation;
  4. use the Software for any activity that breaks the law or the rights of third parties.

4. CAD software and third-party content

4.1 The Software connects to the Customer's CAD system. The Customer obtains the CAD licence itself and at its own cost. The Provider supplies and distributes no content of the CAD vendor (appearances, materials, libraries or files).

4.2 The Software contains third-party components under their own licences, in particular open source libraries and other content under free licences. The list and terms are given in the Software's documentation. Those terms prevail where they concern the component in question.

5. Customer Data

5.1 Customer Data belongs to the Customer. The Provider acquires no rights in it other than those it needs to provide the service (storage, synchronisation between the Customer's seats, publishing web configurators and processing orders).

5.2 Data is stored on the Customer's computer. When the Software is signed in to the customer account, it synchronises the data to the Provider's server automatically, so that all of the Customer's seats have it. Folder paths are synchronised too, and they can contain user names on the computer. CAD model and drawing files are not sent to the server. The Customer is responsible for backing up its CAD models, drawings and output files.

5.3 For web configurators the Provider stores the 3D shape of parts converted from the Customer's models. This data holds only shape, with no personal data and no customer name. Anyone who knows its unique identifier can load it, even if the configurator it belongs to is not published. Data no page or other data uses any more is deleted by the Provider 30 days after the page is unpublished, or when the Customer's data is deleted. Data uploaded for a page that was never published or synchronised cannot be attributed to any customer and therefore stays stored.

5.4 Personal data the Customer puts into the Software is processed by the Provider as a processor under the Data Processing Agreement at gullsystem.com/documents/dpa. Other personal data is processed under the privacy policy at gullsystem.com/documents/privacy.

6. Licence check and updates

6.1 The Software regularly connects to the Provider's server to check the Licence and synchronise data. To check the Licence it sends an anonymous installation identifier, the computer name and the Software version. Without a valid Licence the Software signs out of the customer account and the functions that need a Licence stop working. Data on the Customer's computer remains.

6.2 After start and then regularly, the Software checks whether a new version is available, even when it is not signed in. It downloads a new version in the background and installs it when the user confirms. Updates may change, add or remove functions. The Provider will not substantially reduce functions the Customer has paid for without telling it in advance.

6.3 The Software contains no measurement or telemetry. It sends diagnostic data to the Provider only in a problem report the user sends.

7. Customer's responsibility for outputs

7.1 The Software automates design and manufacturing documents according to rules the Customer sets. The Customer is responsible for the correctness of its models, rules, tables and settings, and for checking the outputs (models, drawings, flat patterns, bills of materials and other files) before using them in production.

7.2 The Provider is not liable for damage caused by using an output the Customer did not check before production.

8. Warranty and liability

8.1 The Software is provided as is. The Provider does not warrant that it will work without errors or interruptions or that it will suit every purpose of the Customer. The Provider will fix defects it learns about within a reasonable time.

8.2 The Provider's total liability for damage under the Agreement is limited to the amount the Customer paid the Provider for the Licence in the 12 months before the damage arose. For a trial or school licence it is limited to CZK 1,000.

8.3 The Provider is not liable for lost profit, loss of data, scrapped production, the Customer's delays towards its own customers, or indirect damage.

8.4 The limits in this article do not apply to damage caused intentionally or by gross negligence, or to harm to a person's natural rights.

9. Term and termination

9.1 The Agreement lasts for the term of the Licence.

9.2 When the Licence ends, the Customer stops using the Software. Customer Data on its computer remains. Data on the Provider's server is governed by article 7 of the terms of business.

9.3 The Provider may suspend or end the Licence if the Customer materially breaches the Agreement and does not put it right within 14 days of being told.

10. Final provisions

10.1 The Agreement is governed by the law of the Czech Republic, in particular the Civil Code and the Copyright Act. Disputes are decided by the Czech courts competent for the Provider's registered office.

10.2 The Agreement follows on from the Provider's terms of business. Where they conflict, the Agreement prevails on use of the Software, the terms of business on prices, payments and services, and the Data Processing Agreement on personal data protection.

10.3 The Provider may change the Agreement. It will announce a change at least 30 days in advance by e-mail or in the Software. If the Customer does not agree with the change, it may end the Licence on the day the change takes effect.

10.4 If any provision is invalid, the other provisions remain in force.

10.5 This Agreement is made in Czech and English. The Czech version prevails.

A short description to copy, in Czech and English.

gull system is a Czech software company offering engineering firms two products on a monthly subscription. With Web configurators, customers see a manufacturer’s products in 3D on its own website, try the variants and send a finished specification nobody has to retype. With CAD configurators, engineers stop redrawing the same parts: they set the rules as Excel-style formulas, with no programming, and the drawings, DXF, STEP and bill of materials for every order are then produced automatically from the CAD models the company already has.
